How is corporate culture different than governance?

On September 13, 2021, Senator Elizabeth Warren sent FED Chair Jerome Powell a letter [PDF].

In the letter she wrote “Under Janet Yellen’s leadership, the Fed placed Wells Fargo under an asset cap in 2018 due to its ‘widespread consumer abuses and other compliance breakdowns.’ In the more than three years since then, numerous additional revelations have surface about Wells Fargo’s continued unethical and anti-consumer conduct. These new revelations have once again made clear that continuing to allow this giant bank with a broken culture to conduct business in its current form poses substantial risks to consumers and the financial system.” Senator Warren goes on to ask that the Fed revoke Wells Fargo’s status as a financial holding company. The action would require Wells Fargo to separate its consumer bank subsidiary from its other financial activities.

Wells Fargo is an enormous financial services company with $1.9 trillion in assets. It serves 1 in 3 U.S. households and 10% of U.S. small business.

In Well’s Fargo’s reply, it cites progress achieved under the new CEO, Charles Scharf, including:

  1. Three business group have been split into five.
  2. It has created four new functions to provide greater oversight and transparency.
  3. It has brought on board 10 new operating committee members out of the total committee of 17.
  4. It has created a new team design to facilitate oversight of consumer practices.
  5. It has created new enterprise-wide risk assessment with the intent to design new controls.
  6. It has “implemented a new incentive plan for bank branches that is governed by stronger oversight and controls, and focused on customer relationships.”

The Fed continues to maintain that Wells Fargo has not done enough to rein in the incentive failures that revealed the frailty of its corporate governance. We have seen that several of the largest conglomerates in the United States have decided that it is time to divide their agglomerated groups into smaller units for focus and function. Johnson & Johnson will separate its consumer products division and its pharmaceutical division. GE will divide into three units: aviation, energy, and healthcare. Is it time for Wells Fargo to separate its consumer banking business from its other enterprises?

What are some of the challenges for Nursing Home Facilities Patients?

After reviewing the information from the articles I’ve chosen on the care and transition of elderly patients into long-term facilities I have come to a series of points to tackle for my project on order they are.

1:What are the Critical Junctures of Nursing at Long-Term Health Care facilities? The Critical Junctures of Nursing at LTCF’S are “ Care transitions (CT) are critical junctures in the healthcare delivery process. Effective transitions reduce the need for subsequent transfers between healthcare settings, including nursing homes. Understanding social services (SS) involvement in these processes in nursing homes is important from a quality and holistic care perspective” (Galambos, 2022).is the transition of elderly patient from their previous home or facilities into new ones. This coupled with their adjustment to life in the new facilities and use of specialists , in helping them transition, with the utilization of specialized workers such as Social Services staff , coworkers, and family to help the patient transition successfully. The second Critical Juncture is discharge to a hospital or another specialized facility for specialized treatment

2:What are some of the challenges for Nursing Home Facilities Patients?These patients face a number of issues such as . Cognitive issues, atrophied muscles, inability to complete the activities of daily living safely, or some combination of these and other risk factors often make it unsafe for Medicare patients to go straight home after a hospital stay(NCBI ,2022)

3:What are SNF’S ? Is the role of SNF’S? SNF’S or Skilled Nursing Facilities are specialized patient care facilities whose role is to safeguard a patient during a step-down from a hospital stay or for prolonged care when a patient requires a high level of ongoing care. SNFs provide medically necessary short-term or long-term care when those needs are best met in a semi-clinical environment. Providing ongoing care post-discharge from a hospital often leads to a higher quality of life as well as a lower lifetime cost of patient care. But the daily cost of a SNF can run from a low of $140 to a high of $700+. The average daily cost is around $250, which is beyond the average American’s reach. Therefore, payment becomes a vital issue(Farber , 2021).

4: What are the inadequacies of the Nursing facilities system?How have some facilities improperly handled the care of elderly patients? To give an example locally within my current state of South Carolina , an elderly woman in question with a number of errors that the facility committed including a lack of supervision, employees, or resources . The consequence of all these missteps, in their opinion, was that resulted in the patient in this case suffering abuse, dehydration, malnutrition, and a variety of other harms.” (Law center LLC 2022) . The offers of both participants for settlement being weighed closer other claimants “ The family’s demand was higher than the defendant’s offer so the settlement was closer to the latter family’s demands.”.

5: What are the common points of Nursing Homes legal disputes regarding care in their facilities? In the aforementioned lawsuits what we’re the abuses of the home in question? within my home state ranging from a low of 75,000 where an elderly woman in question with an “alleged a number of errors that the facility committed including a lack of supervision, employees, or resources. The consequence of all these missteps, in their opinion, was that she suffered abuse, dehydration, malnutrition, and a variety of other harms.” (Law center LLC 2022) the offers of both participants for settlement being weighed closer other claimants. “ The family’s demand was around $200,000 and the defendant’s offer was $30,000 so the settlement was closer to the latter.” (Legal LLC , 2022) while in the case of highest verdict $470,000 here in the Palmetto State in my grandmothers native home country of Florence , was a unique case because it involved a nursing home contractor and not the nursing homes staff.

5:What are the legal implications of Third Party care and the fault regarding the responsibilities of patients Care?patient suffering severe harm under the doctrine of respondeat superior which is Latin for that the master must answer , a modern legal code in Anglo-American law the Employer is responsible for the employees actions.

6:What oversight are Nursing Home Facilities under? The Nursing Home Facilities are essentially under the oversight of the government but a conditional oversight , much like a teacher giving more attention to bad students overall due to them acting out Nursing home facilities are judges according to their Quality Measurement Scores , higher scoring facilities suffer less oversight outside of ruels and regulations , while those with lower scores are more heavily scrutinized by local and government agency in a situation resembling that of a rotten egg and a dead rat one immediately stinks more distinctly then the other but the dead rat overtime can become more overpowering than the egg if left alone.
